Terms of Service
These Terms of Service ("Terms") govern access to and use of the Roger That! software platform and related technical services provided by GRAM Systems (trading name of Matthew Hudson), headquartered at 43 Bromley Avenue, Monkseaton, Whitley Bay, Tyne and Wear, NE25 8TN, United Kingdom ("GRAM Systems", "we", "us", or "our").
1. Platform Licence & Permitted Use
Roger That! is a specialised relational asset management, planned maintenance (PM), and spares tracking platform built for marine, ROV, subsea, and offshore engineering operations.
Subject to compliance with these Terms and any accompanying written quotation or order form, GRAM Systems grants your organisation a non-exclusive, non-transferable, revocable licence to access and utilise the software solely for your internal business operations during the term of your agreement.
The platform is licensed exclusively for commercial business-to-business (B2B) use. It is not intended for consumers.
2. Operational Beta Programme
Roger That! is actively developed and deployed under a commercial Beta programme. Features and workflows may be refined or updated in consultation with participating operators. Commercial subscribers receive direct engineering support from Matthew Hudson at GRAM Systems. Nothing in this clause limits our core commitments to database security, confidentiality, and regular verified backups.
3. User Accounts & Access Control
Access to Roger That! is governed by Role-Based Access Control (RBAC). Your organisation is responsible for administering user invitations, assigning appropriate permission tiers, and maintaining the confidentiality of login credentials.
To maintain audit trail non-repudiation, maintenance task completions, daily progress report sign-offs, and certificate uploads are permanently attributed to the individual user account performing the action. Generic or shared team credentials degrade audit integrity and should not be used.
4. Customer Data Ownership
Your organisation retains 100% sole and exclusive ownership of all equipment data, Bill of Materials (BOM) hierarchies, maintenance history, checklists, inspection photos, and documentation uploaded to or generated within your instance of Roger That!.
GRAM Systems claims no proprietary rights or intellectual property over your operational data. We process customer data strictly to provide, host, support, and maintain the service in accordance with our Privacy Policy.
5. Hosting, Availability & Edge Sync
Central cloud databases and platform instances are hosted in secure, certified data centres situated within the United Kingdom, protected by automated daily backups.
Where Roger That! is installed on a vessel-local edge server, the vessel instance operates autonomously without requiring continuous internet or satellite bandwidth. When vessel satellite connectivity is available, the edge instance synchronizes transactional records back to the central database.
6. Commercial Terms & Invoicing
Subscription fees, edge deployment charges, and bespoke database consulting services are agreed in writing via commercial quotation. Unless otherwise specified in writing, invoices are payable within thirty (30) days of the invoice date. Quoted fees exclude UK Value Added Tax (VAT) where applicable.
7. Intellectual Property
All software source code, database schemas, user interface designs, visual layouts, logos, algorithms, and documentation associated with Roger That! and GRAM Systems remain the exclusive intellectual property of Matthew Hudson trading as GRAM Systems.
Customer shall not reverse engineer, decompile, copy, or create derivative software based upon Roger That!, nor provide access to unauthorized third parties. "Roger That!" and "GRAM Systems" are trademarks of GRAM Systems.
8. Limitation of Liability
Roger That! is a management workflow and record-keeping tool intended to assist qualified engineers and superintendents. It does not replace certified marine engineering inspections, classification society surveys, or offshore safety procedures.
To the fullest extent permitted by English law, neither party shall be liable for indirect, incidental, or consequential damages, loss of profits, vessel off-hire, or offshore operational delays. Our total cumulative liability arising under or in connection with any agreement shall be strictly capped at the total fees paid by the customer to GRAM Systems in the preceding twelve (12) months.
9. Termination & Data Export
Either party may terminate an engagement in accordance with the notice provisions set forth in their written order agreement.
Upon termination, access to the platform terminates. Within thirty (30) days following termination, Customer may request a full, structured export of their asset data, maintenance logs, and uploaded documentation in standard formats. After the transition period, instance data is purged in accordance with our Data Retention Schedule.
10. Governing Law & Jurisdiction
These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim.
